Licensing and Contractual Conditions for Software Version 01/2020 These Licensing and Contractual Conditions for Software apply to software distributed by Enertronica Santerno S.p.A. (“Santerno”), be it software distributed as part of a product (so-called embedded software), be it software distributed alone. Santerno distributes both software developed Santerno itself (hereafter referred to as "software"), as well as software licensed by third parties as Open Source Software (hereafter referred to as "FOSS"). Rules for software can be found under Section I; Rules for FOSS can be found under Section II. I. Rules for Software A list of the software can be found in the "License" directory and, after installation, below the installation directory of the relevant component in the "License" folder. The software is licensed by Santerno under the following conditions. 1. With the placement of an order, or at the latest when the data medium packaging is opened or the software is installed, the Buyer declares their acceptance of the following Licensing and Contractual Conditions for exclusively commercial use. If the Buyer does not accept these Licensing and Contractual Conditions for exclusively commercial use, he or she shall not be entitled to install the software. Any terms and conditions presented by the Buyer shall not become an integral part of this contract, even if not expressly contradicted by Santerno. The Buyer acknowledges that Santerno is the sole holder of all rights to the software stored on the enclosed data medium, and to all the know-how associated with that software. He or she shall refrain from infringing upon these rights in any way. He or she shall take appropriate measures to advise third parties that Santerno is the sole holder of all rights to the software. 2. The software shall be supplied in computer readable form (Object Code) The risk of accidental damage to or destruction of the software shall pass to the Buyer when the data medium is handed over or - if the software is transmitted by means of electronic communication media (Internet) - at the moment the software leaves the sphere of influence of Santerno (e.g. when it is downloaded). 3. Santerno grants the Buyer a non-exclusive and – unless otherwise agreed in the following – non-transferable right to use the software provided. In order to exercise this usage right, some of the software provided by Santerno requires merely device and user registration, using a registration code provided by Santerno; in some cases, the Buyer may receive a single or even specific original Santerno certificate, the scope of which is described below. The scope of the usage right thus results from the Santerno certificate and also from these contractual conditions. The Buyer is only entitled to use the software if he or she has undertaken device and user registration using the registration code provided by Santerno, or is the owner and is in possession of an original Santerno certificate or a sub-license certificate according to Section 3.4. 3.1 Proper device and user registration using the registration code provided by Santerno on the one hand or ownership of a single user license documented by an original Santerno certificate on the other hand entitles the Buyer to use the software simultaneously on a device/workstation (not a server). If a device has several workstations, the software may only be used on one workstation. In the event of device and personal registration alone, the software is not allowed to be passed on to third parties. 3.2 A multiple user license shall entitle the Buyer to use the software on the number of devices/workstations (not servers) specified in the license certificate. All copies of the software required for the purposes of use within the specified scope of use shall be documented and presented to Santerno if so requested. 3.3 A corporate license shall entitle the Buyer to use the software on several workstations in his or her company. The Buyer shall have no right to pass on the software to any third parties or to issue sub-licenses. The software may only be installed on servers which are accessible exclusively to employees of the Buyer. The use of the software on a network shall only be permitted by way of a corporate license. 3.4 A buyout license includes the privileges of a corporate license. The buyout license itself may not be passed on to any third parties or sub-licensed. The software may only be installed on a server if no persons other than employees of the Buyer have access to that server. The Buyer shall have sole responsibility for ensuring compliance with any applicable export requirements. Sub-licenses may only be granted for the purposes of using the software for the deployment of Santerno devices or other devices manufactured by the Buyer which have Santerno devices incorporated in them. 3.5 Freeware: Freeware: Freeware is software that Buyers receive free of charge from Santerno. Buyers are allowed to use this software on their own, make copies of it and pass it on to third parties free of charge. The sale of this software to third parties is prohibited. 4. The Buyer has the right to make a backup copy of the software. It is to be safeguarded from the access of third parties. 5. Irrespective of the usage right granted, Santerno shall retain all rights to the software, including all copies or partial copies produced by the Buyer. This does not affect the Buyer's rights of ownership to the recording media concerned. The Buyer agrees not to modify in any way any notices concerning industrial property rights, such as copyright notices, contained in the software. 6. The Buyer shall not make the software available to any third parties, either in its original form or in the form of complete or partial copies, unless permitted by these licensing terms. 7. The Buyer shall not be entitled, without the prior permission of Santerno, to edit, modify, develop or translate the software or to delete any part of it. 8. The parties agree that it is not currently possible to develop software such that it is free of defects for all application conditions. The enclosed user documentation or online help provided by Santerno detail the intended usage and the software's operating conditions. Santerno guarantees contractual usage of the software as stated in the valid usage documentation. A defect is to be proved by the Buyer through verifiable documents. The defect must be reproducible. A defect is said to exist if the software's function is affected in a significant way. In such cases, Santerno shall remedy and may elect to achieve this by either a) eliminating the defect or b) supplying a replacement free from defects, and is obliged to do so, to the extent that this can be done at a reasonable cost. If Santerno should twice fail within a reasonable deadline to remedy or work around such significant deviations from the user documentation such that the Buyer can use the software in accordance with the contract, the Buyer shall be entitled to demand a reduction in the license fee or, if the software is thereby rendered useless to the Buyer, to terminate the license without notice and demand repayment of the purchase price. The warranty shall not apply to any defects caused by operating conditions which deviate from those for which the software is intended, as specified in the user documentation. The warranty period is 12 months. It begins with the passing of risk (Section 2) and does not restart due to remedial measures. Any other warranty rights over and above those specified in this section shall be excluded, to the extent permissible by law. The software we have produced was designed for technical/scientific applications. The respective Buyer/User is responsible for ensuring that the software is only used by competent staff familiar with the respective subject area and qualified for this type of application. To the extent that the calculations made by the software are based on information from the User/Buyer, the Buyer/customer guarantees that the information provided by him or his vicarious agents is correct and complete. Santerno excludes any liability if the calculations and advice are incorrect, unusable or incomplete, and if they are based on incorrect or incomplete information provided by the Buyer/User or his/her vicarious agents. 9. Santerno assumes liability at all times towards the Buyer for any damages caused by willful intent or gross negligence on the part of Santerno or its vicarious agents as well as for the absence of guaranteed properties. Moreover, Santerno shall only be liable for direct defects in performance caused by Santerno or its vicarious agents to the extent that they involve significant functions in the supplied software, as well as any violation or non-performance caused by Santerno or its vicarious agents of other obligations material to the fulfillment of this contract, or in case of injury to life, limb or health. If Santerno or its vicarious agents are in minor negligent breach of the contractual obligations mentioned in the last sentence of the previous paragraph, Santerno shall only be liable for compensation for those damages which could have been foreseen by Santerno at the time the individual transaction was concluded. The Buyer is obligated to advise Santerno in writing, prior to conclusion of contract, of any special risks, atypical potential for damages and unusual levels of damages. No liability shall be accepted for any consequential damages, lack of commercial success, indirect damages and for any damages arising from claims made by third parties. In addition, Santerno's liability with respect to each individual case in this paragraph shall be limited to the price of the product/service object of this contract. The limitation on the liability granted by Santerno stipulated in the preceding paragraph shall also apply to any culpable breach of contractual obligations by employees or agents of Santerno who are not managing directors or executive employees of Santerno or having an equivalent status. This provision on liability shall apply mutatis mutandis to employees and authorized representatives of Santerno. Santerno shall only be liable for the recovery of data if the Buyer has undertaken to ensure that this data can be reproduced at a reasonable time and cost, as defined by proper data processing practices, from data volumes maintained in machine-readable format. 10. Italian law shall apply. The place of jurisdiction is Milan. II. Rules for FOSS 1. Santerno also distributes software licensed as Open Source Software, i.e. meeting the requirements of the Open Source definition or the Free Software definition (hereafter referred to as "FOSS"). A list of components licensed as FOSS, as well as the applicable licensing texts, can be found in the "License" directory and, after installation, below the installation directory of the relevant component in the "License" folder. 2. The source code of FOSS is made available to the Buyer with the relevant copyright notices, disclaimers and any further information, on the data medium or for download. 3. Santerno warrants that the Buyer is allowed to use the FOSS for the contractual purposes. The Buyer may acquire further usage rights in the FOSS from the respective owners if he concludes licensing agreements with these parties under the conditions of the applicable open source licenses.   Condizioni di licenza e contrattuali per il Software Versione 01/2020 Le presenti Condizioni di licenza e contrattuali per il Software si applicano al software distribuito da Enertronica Santerno S.p.A. (“Santerno”), sia esso software distribuito come parte di un prodotto (il cosiddetto software embedded), sia esso software distribuito da solo. Santerno distribuisce sia il software sviluppato da Santerno stesso (di seguito denominato "software"), sia il software concesso in licenza da terzi come software open source (di seguito denominato "FOSS"). Le regole per il software sono disponibili nella Sezione I; le regole per FOSS sono disponibili nella Sezione II. I. Regole per il Software Un elenco dei software è disponibile nella directory "License" e, dopo l'installazione, sotto la directory di installazione del relativo componente nella cartella "License". Il software è concesso in licenza da Santerno alle seguenti condizioni. 1. Al momento dell’emissione dell’ordine o, al più tardi, quando viene aperta la confezione del supporto dati o il software è installato, l'Acquirente dichiara di accettare le seguenti Condizioni di licenza e contrattuali per uso esclusivamente commerciale. Se l'Acquirente non accetta queste Condizioni di licenza e contrattuali per un uso esclusivamente commerciale, non avrà il diritto di installare il software. Eventuali termini e condizioni presentati dall'Acquirente non diventeranno parte integrante del presente contratto, anche se non espressamente contraddetti da Santerno. L'Acquirente riconosce che Santerno è il solo detentore di tutti i diritti sul software memorizzato sul supporto dati allegato e su tutto il know-how associato a quel software. Si asterrà dal violare tali diritti in alcun modo. Lui o lei dovrà prendere le misure appropriate per avvisare i terzi che Santerno è il solo detentore di tutti i diritti sul software. 2. Il software sarà fornito in forma leggibile da computer (codice oggetto) Il rischio di danni accidentali o distruzione del software passerà all'Acquirente al momento della consegna del supporto dati o - se il software viene trasmesso tramite mezzi di comunicazione elettronici (Internet) - nel momento in cui il software lascia la sfera di influenza di Santerno (ad es. quando viene scaricato). 3. Santerno garantisce all'Acquirente un diritto non esclusivo e - se non diversamente concordato nel seguito - non trasferibile all'utilizzo del software fornito. Per esercitare questo diritto di utilizzo, parte del software fornito da Santerno richiede semplicemente la registrazione del dispositivo e dell'utente, utilizzando un codice di registrazione fornito da Santerno; in alcuni casi, l'Acquirente può ricevere un certificato Santerno originale singolo o addirittura specifico, il cui ambito è descritto di seguito. L'ambito del diritto d'uso deriva quindi dal certificato Santerno e anche da queste condizioni contrattuali. L'Acquirente ha il diritto di utilizzare il software solo se ha intrapreso la registrazione del dispositivo e dell'utente utilizzando il codice di registrazione fornito da Santerno, oppure è il proprietario ed è in possesso di un certificato Santerno originale o di un certificato di sub-licenza secondo la Sezione 3.4. 3.1 La corretta registrazione del dispositivo e dell'utente mediante il codice di registrazione fornito da Santerno da un lato o la proprietà di una licenza per singolo utente documentata da un certificato Santerno originale dall'altro autorizza l'Acquirente a utilizzare il software contemporaneamente su un dispositivo / workstation (non un server). Se un dispositivo ha più stazioni di lavoro, il software può essere utilizzato solo su una workstation. Nel caso del solo dispositivo e della registrazione personale, il software non può essere trasmesso a terzi. 3.2 Una licenza per più utenti autorizza l'Acquirente a utilizzare il software sul numero di dispositivi / workstation (non server) specificato nel certificato di licenza. Tutte le copie del software richieste ai fini dell'uso nell'ambito di applicazione specificato devono essere documentate e presentate a Santerno se richiesto. 3.3 Una licenza aziendale autorizza l'Acquirente a utilizzare il software su più workstation nella propria azienda. L'Acquirente non avrà alcun diritto di trasmettere il software a terzi o di rilasciare licenze secondarie. Il software può essere installato solo su server accessibili esclusivamente ai dipendenti dell'Acquirente. L'uso del software su una rete è consentito solo mediante una licenza aziendale. 3.4 Una licenza di acquisto include i privilegi di una licenza aziendale. La stessa licenza di acquisto non può essere ceduta a terzi o concessa in licenza. Il software può essere installato su un server solo se persone diverse dai dipendenti dell'Acquirente hanno accesso a quel server. L'acquirente ha la responsabilità esclusiva di garantire la conformità a tutti i requisiti di esportazione applicabili. Le licenze secondarie possono essere concesse esclusivamente ai fini dell'utilizzo del software per la distribuzione di dispositivi Santerno o altri dispositivi prodotti dall'Acquirente in cui sono incorporati dispositivi Santerno. 3.5 Freeware: Freeware: Il freeware è un software che gli acquirenti ricevono gratuitamente da Santerno. Gli acquirenti possono utilizzare questo software da soli, copiarlo e trasmetterlo a terzi gratuitamente. È vietata la vendita di questo software a terzi. 4. L'acquirente ha il diritto di fare una copia di backup del software. Deve essere protetto dall'accesso di terzi. 5. Indipendentemente dal diritto di utilizzo concesso, Santerno conserva tutti i diritti sul software, comprese tutte le copie o copie parziali prodotte dall'Acquirente. Ciò non influisce sui diritti di proprietà dell'acquirente sui supporti di registrazione interessati. L'Acquirente si impegna a non modificare in alcun modo qualsiasi avviso riguardante i diritti di proprietà industriale, come gli avvisi di copyright, contenuti nel software. 6. L'Acquirente non renderà disponibile il software a terzi, nella sua forma originale o in forma di copie complete o parziali, a meno che non sia consentito dalle presenti condizioni di licenza. 7. L'Acquirente non avrà il diritto, senza la preventiva autorizzazione di Santerno, di editare, modificare, sviluppare o tradurre il software o di eliminarne una parte. 8. Le parti convengono che attualmente non è possibile sviluppare software in modo tale che sia privo di difetti per tutte le condizioni di applicazione. La documentazione per l'utente allegata o la guida in linea fornita da Santerno descrivono in dettaglio l'utilizzo previsto e le condizioni operative del software. Santerno garantisce l'utilizzo contrattuale del software come indicato nella documentazione di utilizzo valida. Un difetto deve essere dimostrato dall'Acquirente attraverso documenti verificabili. Il difetto deve essere riproducibile. Si dice che esista un difetto se la funzione del software è influenzata in modo significativo. In tali casi, Santerno deve porre rimedio e può scegliere di raggiungere questo obiettivo a) eliminando il difetto o b) fornendo un sostituto esente da difetti ed è obbligato a farlo nella misura in cui ciò possa essere fatto ad un costo ragionevole. Se Santerno per due volte entro un termine ragionevole non dovesse riuscire a porre rimedio o ad aggirare tali deviazioni significative dalla documentazione utente in modo tale che l'Acquirente possa utilizzare il software in conformità con il contratto, l'Acquirente avrà il diritto di richiedere una riduzione del canone di licenza o, se il software viene così reso inutile per l'Acquirente, di terminare la licenza senza preavviso e chiedere il rimborso del prezzo di acquisto. La garanzia non si applica ai difetti causati da condizioni operative che si discostano da quelle per cui è previsto il software, come specificato nella documentazione utente. Il periodo di garanzia è di 12 mesi. Inizia con il passare del rischio (Sezione 2) e non si riavvia a causa di misure correttive. Eventuali altri diritti di garanzia oltre a quelli specificati in questa sezione saranno esclusi, nella misura consentita dalla legge. Il software che abbiamo prodotto è stato progettato per applicazioni tecnico / scientifiche. Il rispettivo acquirente / utente è responsabile di garantire che il software sia utilizzato solo da personale competente che abbia familiarità con la rispettiva area tematica e qualificato per questo tipo di applicazione. Nella misura in cui i calcoli effettuati dal software si basano sulle informazioni dell'Utente / Acquirente, l'Acquirente / cliente garantisce che le informazioni fornite da lui o dai suoi agenti delegati sono corrette e complete. Santerno esclude qualsiasi responsabilità se i calcoli e i consigli sono errati, inutilizzabili o incompleti e se si basano su informazioni errate o incomplete fornite dall'Acquirente / Utente o dai suoi agenti delegati. 9. Santerno si assume sempre la responsabilità nei confronti dell'Acquirente per eventuali danni causati intenzionalmente o per negligenza grave da parte di Santerno o dei suoi agenti delegati, nonché per l'assenza di proprietà garantite. Inoltre, Santerno sarà responsabile solo per i difetti diretti nelle prestazioni causati da Santerno o dai suoi agenti delegati nella misura in cui comportano funzioni significative nel software fornito, nonché qualsiasi violazione o inadempienza causata da Santerno o dai suoi agenti delegati di altri obblighi materiali per l'adempimento del presente contratto o in caso di lesioni alla vita, agli arti o alla salute. Se Santerno o i suoi agenti delegati sono in lieve violazione negligente degli obblighi contrattuali menzionati nell'ultima frase del paragrafo precedente, Santerno sarà responsabile solo per il risarcimento dei danni che avrebbero potuto essere previsti da Santerno al momento della conclusione della singola transazione. L'Acquirente è tenuto a informare Santerno per iscritto, prima della conclusione del contratto, di eventuali rischi speciali, potenziale atipico per danni e livelli insoliti di danni. Nessuna responsabilità sarà accettata per eventuali danni consequenziali, mancanza di successo commerciale, danni indiretti e per eventuali danni derivanti da richieste di risarcimento da parte di terzi. Inoltre, la responsabilità di Santerno nei confronti di ogni singolo caso nel presente paragrafo è limitata al prezzo del prodotto / servizio oggetto del presente contratto. La limitazione della responsabilità concessa da Santerno stabilita nel paragrafo precedente si applica anche a qualsiasi violazione colposa di obblighi contrattuali da parte di dipendenti o agenti di Santerno che non siano amministratori delegati o impiegati esecutivi di Santerno o che abbiano uno status equivalente. Questa disposizione sulla responsabilità si applica, mutatis mutandis, ai dipendenti e ai rappresentanti autorizzati di Santerno. Santerno sarà responsabile per il recupero dei dati solo se l'Acquirente si è impegnato a garantire che questi dati possano essere riprodotti a un tempo e un costo ragionevoli, come definito dalle corrette pratiche di elaborazione dei dati, da volumi di dati mantenuti in formato leggibile da una macchina. 10. Si applica la legge italiana. Il foro competente è Milano. II. Regole per il FOSS 1. Santerno distribuisce anche software concesso in licenza come software open source, vale a dire che soddisfa i requisiti della definizione di open source o della definizione di software libero (di seguito "FOSS"). Un elenco di componenti concessi in licenza come FOSS, nonché i testi di licenza applicabili, sono disponibili nella directory "License" e, dopo l'installazione, sotto la directory di installazione del componente pertinente nella cartella "License". 2. Il codice sorgente di FOSS è reso disponibile all'acquirente, insieme alle relative informazioni sul copyright, alle dichiarazioni di non responsabilità e qualsiasi ulteriore informazione, sul supporto dati o per il download. 3. Santerno garantisce che l'Acquirente è autorizzato a utilizzare il FOSS per scopi contrattuali. L'acquirente può acquisire ulteriori diritti di utilizzo del FOSS dai rispettivi proprietari se stipula accordi di licenza con queste parti alle condizioni delle licenze open source applicabili.
